Terms of Service

These terms are an agreement between you or the organization you represent ("Customer") and Synchronoid, the operator of the Synchronoid service. While Synchronoid is in private beta, the Beta Terms also apply and take priority where they conflict with these terms.

1. The Service

Synchronoid provides a managed platform for building, running and observing data pipelines (the "Service"). Access is by invitation. We may update the Service from time to time.

2. Accounts

You must provide accurate information, keep credentials secure and are responsible for activity under your workspace. You must be authorized to bind your organization. Tell us promptly at security@synchronoid.com if you suspect unauthorized access.

3. Customer data

You own your data. You give us the right to host, process and transmit it only to provide the Service. You are responsible for having the rights and legal bases to process the data you connect. Where we process personal data on your behalf, the DPA applies.

4. Acceptable use

You must not: break the law; infringe others' rights; attempt to access other customers' data; probe or disrupt the Service; reverse engineer it except where the law allows; use it to send spam or malware; or exceed a third-party provider's terms when fetching data. We may suspend access to stop abuse or protect the Service.

5. Plans and fees

Plans, prices and limits are described on our pricing page. Paid plans are billed in advance, monthly. Fees are exclusive of taxes. Unless stated otherwise, fees are non-refundable. We will give 30 days' notice before changing prices for existing customers.

6. Intellectual property

We own the Service, including the SDK, CLI and documentation, except for open-source components under their own licenses. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You keep all rights in your data and pipelines.

7. Confidentiality

Each party will protect the other's non-public information with reasonable care and use it only for this agreement, except where disclosure is required by law.

8. Availability and support

We aim for a reliable Service and publish our status on the status page. A 99.9% service level applies only to Enterprise customers under their order form. Support levels depend on your plan.

9. Warranties and disclaimer

We will provide the Service with reasonable skill and care. Except as stated, the Service is provided "as is" and we disclaim all other warranties to the extent the law permits.

10. Liability

To the extent permitted by law, neither party is liable for indirect or consequential loss, or lost profits. Each party's total liability is limited to the fees paid by Customer in the 12 months before the claim. Nothing limits liability that cannot be limited by law, such as for fraud or intentional misconduct.

11. Term and termination

You may stop using the Service at any time. Either party may terminate for material breach that is not fixed within 30 days. We may terminate on 30 days' notice. After termination we delete customer data as described in the DPA, and you may export it for 30 days.

12. Changes to these terms

We may change these terms by giving at least 30 days' notice. If you continue to use the Service after the effective date, you accept the changes.

13. Governing law

These terms are governed by the laws of the European Union member state in which Synchronoid is registered, excluding conflict-of-law rules. Courts of that state have exclusive jurisdiction, except where mandatory consumer law says otherwise.
